NetScout Systems, Inc. (NASDAQ: NTCT), an industry leader for advanced application and service assurance solutions, today announced financial results for its third quarter of fiscal year 2014 ended December 31, 2013.

“We are pleased to report very strong performance with our third quarter results. For the first time, our company has crossed the $100 million quarterly revenue milestone,” said Anil Singhal, President and CEO of NetScout Systems. “Our results this quarter were driven by key factors, including new product introductions for the Enterprise sector, expanded deployments by Service Providers, and increased traction with our complementary Packet Flow Switch product line.” Mr. Singhal added, “Also, during this quarter, we officially received a patent for our unique Adaptive Session Intelligence, or ASI. ASI is our intelligence software providing real-time and actionable operational intelligence to our customers. It represents significant inventions associated with next generation analytics and scalability that further enables service assurance and business intelligence.”

Total GAAP revenue for the third quarter was $110.4 million; non-GAAP revenue was $110.6 million. A reconciliation of GAAP and non-GAAP results is included in the attached financial tables.

Product revenue for the third quarter, on a GAAP and non-GAAP basis was $68.6 million. Service revenue on a GAAP basis was $41.8 million and non-GAAP service revenue was $42.0 million.

GAAP net income for the third quarter was $17.3 million, or $0.41 per diluted share. GAAP income from operations was $27.3 million. On a non-GAAP basis, net income for the quarter was $21.0 million, or $0.50 per diluted share, and non-GAAP income from operations was $32.9 million.

  • GAAP revenue increased 21% year-over-year and increased 20% sequentially. Non-GAAP revenue increased 20% year-over-year and increased 20% sequentially.
  • GAAP and non-GAAP product revenue increased 30% year-over-year and increased 31% sequentially.
  • GAAP operating margin was 25%, up six points from a year ago and up eight points sequentially. Non-GAAP operating margin was 30%, up four points from a year ago and up five points sequentially.
  • As of December 31, 2013, cash and cash equivalents and short and long-term marketable securities were $182.2 million, up $22.8 million from $159.4 million as of the end of the prior quarter.

Guidance:

With one quarter remaining, we are narrowing fiscal year 2014 guidance within the original range for GAAP and non-GAAP revenue. We expect GAAP revenue to be in the range of $391 million to $394 million and non-GAAP revenue to be in the range of $392 million to $395 million. We have narrowed GAAP net income per diluted share to be in the range of $1.12 to $1.14 and non-GAAP net income per diluted share to be in the range of $1.48 and $1.50.

For fiscal year 2014, the non-GAAP net income per diluted share expectation excludes the acquisition accounting adjustment to fair value of approximately $0.6 million for deferred revenue, forecasted share-based compensation expenses of approximately $12.8 million, estimated amortization of acquired intangible assets of approximately $6.7 million, compensation for post combination services of approximately $2.6 million, business development charges of approximately $0.5 million, the related impact of these adjustments on the provision for income taxes of $8.8 million and a tax offset for tax impact of non-GAAP reconciling items in loss jurisdictions of approximately $0.7 million.

Use of Non-GAAP Financial Information

To supplement the financial measures presented in NetScout's press release in accordance with accounting principles generally accepted in the United States ("GAAP"), NetScout also reports the following non-GAAP measures: non-GAAP revenue, non-GAAP net income and non-GAAP net income per diluted share. Non-GAAP revenue eliminates the GAAP effects of acquisitions by adding back revenue related to deferred revenue revaluation. Non-GAAP net income includes the foregoing adjustment and also removes inventory fair value adjustments, expenses related to the amortization of acquired intangible assets, stock-based compensation, restructuring, certain expenses relating to acquisitions including compensation for post-combination services and business development charges, net of related income tax effects. Non-GAAP diluted net income per share also excludes these expenses as well as the related impact of all these adjustments on the provision for income taxes.

These non-GAAP measures are not in accordance with GAAP, should not be considered an alternative for measures prepared in accordance with GAAP (revenue, net income and diluted net income per share), and may have limitations in that they do not reflect all of NetScout’s results of operations as determined in accordance with GAAP. These non-GAAP measures should only be used to evaluate NetScout’s results of operations in conjunction with the corresponding GAAP measures.
